Organizational Structure
The Patronato of La Posada de Ocu will: 

La Posada de Ocú will be a "Patronato" (patronage)  

 

The figure of "Patronato" in Panamá offers the advantage of being an independent administrative entity that includes both members of the government and the community.​

It manages its funds and makes its decisions independently.

It is considered a tax exempt non-profit institution. 

 

It must be created by a National Law from the Panamanian Legislature.  

The purpose of Patronato La Posada de Ocú will be to administer, conserve and protect the facilities of its  business, cultural and social complex and the assets entrusted to it.

The Patronato of La Posada de Ocú will: 
Administration

The Board of Trustees will be composed of:


1. A representative of the Catholic Church.
2. A representative of the National Institute of Culture (INAC).
3. A representative from the Tourism Authority.
4. A representative from the Municipality of Ocú.
5. A representative from the Regional Deputy.
6. A representative of the Board of Trustees of Festival del Manito.
7. A representative from the Felipe Carrasco Folklorist Group.
8. A representative of the Association of Retired Persons and Pensioners of Ocú. 

9. A representative of the Ministry of Education. 

 

The decisions of the Board shall be taken by absolute majority.  All will serve ad-honorem, for a two-year period and can only be reelected once.  

The Board of Trustees shall elect anually the following dignitaries:
1. A vice-president or vice-president
2. A secretary or secretary
3. A treasurer or treasurer

The legal representative of the Board of Trustees will be its President. The functions and responsibilities of the dignitaries will be established in a written document.  No member of the Board can be related up to fourth level of consanguinity and second of affinity. 

 

The administrator will be the maximum authority of the Posada de Ocú, and will be subject to the guidelines of the Patronato. 

Notes:

 

While the Patronato is being formed, a Provisional Committee for Improving La Posada  (PCILP) shall be created with volunteer community members to administer and provide maintenance to the premises. 

 

PCILP will evaluate the possibility of acquiring the services of an incubator, to polish its business concepts in order to create a sustainable operation.   Return to equity will be capped at 5% of the operation.
